IMPORTANT NOTICE
PLEASE READ CAREFULLY: This End User License Agreement (EULA)
for Academic End Users (AEU) is a legally binding contract between you, an AEU either as physical or legal entity,
and the Universidad Nacional Autónoma de México (UNAM National Autonomous University of Mexico) for Regulon DataBase (RegulonDB).
AEU is, defined as:
1. An individual scientist who is not working for or with commercial organizations of any kind.
2. A self-contained unit within a university or public or governmental research institution performing
non-commercial research and development.
RegulonDB is a database on transcriptional regulation and operon
organization in E.coli, developed in the laboratory of Dr. Julio
Collado-Vides, and owned by UNAM.
By signing this contract, you certify that you are an AEU according to the aforementioned definition
and that you accept this EULA in full. This agreement is meant to grant AEU the use of the requested
data of RegulonDB via flat-files, which can be transferred in whichever way to a personal computer for
specific academic or research purposes by the EULA. If you do not accept this EULA you are not entitled
to use RegulonDB in any way. UNAM's willingness to license you access to RegulonDB is expressly conditional
on your acceptance of all terms of this license agreement.

Delivery
1.1. AEU shall receive RegulonDB and related releases either by means of online access to the
server of UNAM or by means of a file download via Internet.
1.2. In case UNAM detects misuse of RegulonDB, AEU shall be obligated to delete RegulonDB and all
its elements on all computer compatible record carriers, data-storing, and data-processing equipment.

Protection of DB
2.1. Without prejudice to the utilization rights granted to AEU, UNAM shall hold all rights of RegulonDB
including all copies and partial copies produced by AEU.
2.2. AEU shall be obliged to retain all protective notes, copyright notes and other reservations of rights
unchanged as well as to adopt those notes unchanged in complete or partial copies produced by AEU.
2.3. AEU shall be obliged not to give third parties access to RegulonDB, complete or partial copies without
the explicit consent of UNAM. Furthermore, AEU shall take precautionary measures in order to prevent third parties
from taking possession of RegulonDB or parts of RegulonDB, as well as to prevent third parties from using RegulonDB
completely or partially. The term "third party" includes in particular any other AEU or company or other kind of
organization cooperating with AEU. The limitations of point 3.3 are not given for third parties who are covered by their
own valid EULA. However, it is the responsibility and obligation of AEU to verify that such parties are duly licensed.
2.4. Finally, AEU shall be prohibited from changing RegulonDB or from giving third parties access to changed versions
of RegulonDB, irrespective of whether the changes are complete or partial, or from granting third parties any rights
to changed versions of RegulonDB.
2.5. Non-exclusive license for academic research or non-profit purposes.
Subject to the terms and conditions of this Agreement, UNAM grants AEU a limited, non-exclusive, non-transferable,
non-sublicensable, license to use RegulonDB obtained under this Agreement solely for AEU's internal purposes.

Limited Rights
AEU may not:
3.1 distribute or install in a computer server or network the licensed RegulonDB,
nor permit any third party to access it;
3.2 modify or create derivative works based upon the licensed Database; or
3.3 use the licensed Database to provide service bureau, time-sharing, testing or other computer services
to third parties;
3.4 allow others to gain access to the licensed Database through sponsored research or otherwise;
3.5 disclose or allow others to gain access to any of the data contained in RegulonDB.

Copies and Copyright-Notice
The AEU is not entitled to change or erase data sets of the RegulonDB database or to eliminate copyright notices from RegulonDB.
Furthermore, the AEU is not entitled to expand RegulonDB or to integrate RegulonDB partly or as a whole into other databank
systems without prior written consent from CCG-UNAM.

Time of use
This agreement is effective for one year as of the date the User receives
the requested data. User shall renew this license if required, and is
obligated to delete RegulonDB partial contents in case he or she leaves
his current academic address.

Limitation of Warranty
UNAM shall not be liable for any third-party claims or losses of any
nature, including, but not limited to, lost profits, punitive or
consequential damages due to the use of RegulonDB and information
contained there by User. The licensed Database is provided "as is".
UNAM disclaims all warranties of any kind, express or implied, including,
but not limited to, any implied warranties of fitness for a particular
purpose, satisfactory quality, and non-infringement. UNAM do not warrant
that the operation of the licensed database will be error-free or that
the licensed database is suitable for the needs of the User. This
Agreement explicitly excludes UNAM of any obligation with the AEU.

Severability of Clauses
Any provision or provisions of this agreement which are deemed illegal,
invalid, or unenforceable in any state or country in which this agreement
is effective, shall in such state or country, to the extent of such
illegality, invalidity, or unenforceability, be deemed severed and shall
not affect the legality, validity or enforceability of any other
provision hereof. The invalid provision or the gap shall be filled by an
appropriate provision which to the extent legally possible, comes closest
to the parties. intent of what the parties. would have laid down, had
they been aware of the invalidity or gap in order to meet the spirit and
purpose of this agreement.

Governing Law and Place of Jurisdiction
This agreement shall be construed in accordance with the laws of the
Mexican Republic under exclusion of the UN law on sales. The place of
jurisdiction shall be Cuernavaca, Morelos, México.

About a fully executed Signed License Agreement for Academics and
Non-commercial use for the full version of RegulonDB.
Should the AEU ask for further RegulonDB data, AEU agrees that this will be UNAM's
decision to kindly ask him/her to send a fully executed Signed License Agreement
for Academic and Non-commercial use.
